The ETERNA LAW team advised one of Ukraine’s large agri-industrial holdings on antitrust and corporate law matters. The advice concerned a corporate restructuring of the Group and changes in its ownership structure carried out in stages over several years.
ETERNA LAW provided full legal support for the project, including:
- analysing the changes in the Group’s ownership structure for signs of a concentration within the meaning of competition law
- assessing the legal consequences of such changes, in particular whether prior clearance (concentration approval) from the Antimonopoly Committee of Ukraine (AMCU) was required
- advising on the potential consequences for the Group should the relevant changes be qualified as a concentration
- preparing the final legal position on the competition-law status of the restructuring
Based on its work, the team confirmed that the Group’s corporate structure and the completed restructuring comply with the requirements of Ukrainian competition law.
